1. Acceptance of Terms

By accessing or using mbaakliny.com, you confirm that you are at least 18 years old (or have the consent of a parent or legal guardian), you have the legal capacity to enter into a binding agreement, and you accept these Terms in full.

2. Services Offered

Through this website I offer services including but not limited to:

• AI consulting, audits, and integration strategy.
• AI agent development and deployment.
• Creative direction, branding, and visual identity.
• Web design, UI/UX, and digital product design.
• Content creation, training, and team enablement.

The scope, timeline, deliverables, and pricing for any specific engagement will be defined in a separate proposal, statement of work, or written agreement.

3. Engagement & Payment

Project engagements begin only after a signed proposal or written agreement and, where applicable, receipt of the agreed deposit.

• Quotes are valid for 30 days unless stated otherwise.
• Deposits are typically required to secure work and are non-refundable once work has begun.
• Payment terms (milestones, retainers, final balance) will be specified in each agreement.
• Late payments may result in paused work, additional fees, or termination of the engagement.
• All amounts are in the currency specified in the agreement and exclude applicable taxes unless stated otherwise.

4. Client Responsibilities

For engagements to succeed, clients are expected to:

• Provide timely, accurate, and complete information, assets, and feedback.
• Designate a single point of contact authorized to make decisions and approve deliverables.
• Respond to approval requests within the timeframes agreed in the project plan.
• Ensure that any materials supplied (logos, text, images, data) do not infringe third-party rights.

Delays caused by the client may shift timelines and, in some cases, affect fees.

5. Intellectual Property

All content on mbaakliny.com — including text, graphics, logos, images, layouts, and code — is the property of Michel Baakliny and is protected by copyright and intellectual property laws. You may not copy, reproduce, distribute, modify, or use any of it without prior written permission.

For client projects, ownership of final deliverables transfers to the client upon full payment, unless the written agreement specifies otherwise. Until full payment, all work remains my property. Pre-existing tools, templates, frameworks, and methodologies used to produce the work remain mine and are not transferred.

I retain the right to display completed work in my portfolio, case studies, and promotional materials unless confidentiality is explicitly agreed in writing.

6. Revisions & Scope Changes

Each engagement includes a defined number of revision rounds as specified in the agreement. Revisions beyond that scope, or requests that change the original brief, will be quoted separately and require approval before work continues.

7. Confidentiality

I treat all client information, materials, and business details as confidential and will not share them with third parties except where required to deliver the service (e.g., subcontractors, hosting providers) or by law. If stricter confidentiality is required, a separate non-disclosure agreement can be signed.

8. Warranties & Disclaimer

I deliver services with professional care and to the best of my ability. However, the website and services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

I do not guarantee specific outcomes, results, rankings, revenue, or performance metrics from any engagement, as these depend on many factors outside my control.

9. Limitation of Liability

To the maximum extent permitted by law, Michel Baakliny shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of the website or services.

In any case, total liability for any claim related to an engagement shall not exceed the total amount paid by the client for that specific engagement in the three months preceding the claim.

10. Third-Party Tools & Services

Projects may rely on third-party tools, platforms, APIs, or services (e.g., OpenAI, hosting providers, analytics, CMS platforms). I am not responsible for outages, price changes, policy changes, or discontinuations of these third-party services.

11. Termination

Either party may terminate an engagement with written notice as specified in the signed agreement. In the event of termination:

• The client is responsible for payment for all work completed up to the termination date.
• Deliverables completed and paid for will be handed over.
• Work-in-progress and unpaid materials remain my property.

I reserve the right to refuse service or terminate an engagement immediately if a client breaches these Terms, acts in bad faith, or engages in abusive behavior.

12. Prohibited Uses

You agree not to use mbaakliny.com or my services to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of others.
• Transmit malware, harmful code, or engage in unauthorized access attempts.
• Harass, defame, or harm others.
• Produce misleading, fraudulent, or deceptive content.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Lebanon, without regard to conflict of law principles. Any disputes shall be resolved in the competent courts of Beirut, Lebanon, unless otherwise agreed in writing.

14. Changes to These Terms

I may update these Terms from time to time to reflect changes in services, legal requirements, or business practices. The "Last updated" date at the top reflects the most recent version. Continued use of the website after changes means you accept the updated Terms.
